This Training Program Participation Agreement (“Agreement”) governs participation in training programs offered by Vizibly LLC (“Vizibly”). Vizibly delivers certain governance and leadership programs under the boardVOX learning platform and related initiatives (“boardVOX”).

This Agreement is entered into between Vizibly LLC and the purchasing organization or individual (“Client”). By purchasing, enrolling in, accessing, or participating in any boardVOX program, platform or community portal operated by Vizibly LLC, the Client agrees to be bound by the terms set out below.

1. Scope of Services

Vizibly provides professional training and educational programs as described in the applicable Program Description, Program Brief, or program page (“Program Description”).

These programs may be delivered under the Vizibly brand or through the boardVOX governance learning platform operated by Vizibly.

Programs may be delivered in one or more of the following formats:

- Instructor-led training delivered to organizations

- Cohort-based programs delivered to groups of participants

- Self-paced digital learning programs delivered through boardVOX's online learning platform

The content, format, duration, and learning objectives of each program are described in the applicable Program Description, which forms part of this Agreement.

Certain programs may include access to the boardVOX Community Portal, which provides a forum for peer dialogue, ongoing insight, and continued engagement in governance practice.

2. Program Fees

Client agrees to pay the Program Fee stated in the applicable Program Description.

Payment of the Program Fee confirms enrollment in the applicable program and acceptance of this Agreement.

Unless otherwise specified in writing, all program fees are due in full at the time of registration.

3. Program Delivery

Vizibly will deliver the program in accordance with the schedule or access terms described in the Program Description.

Programs may be delivered:

·      in person

·      virtually through live sessions

·      as cohort-based programs with scheduled sessions

·      through self-paced online learning modules

Vizibly reserves the right to make reasonable adjustments to program scheduling or delivery format where necessary.

4. Access to Digital Programs

Where programs are delivered through Vizibly’s online learning platform, the Client is granted a limited, non-exclusive, non-transferable license to access the program materials for personal learning purposes.

Client agrees that:

·      access is limited to the registered participant

·      login credentials must not be shared

·      program materials must not be reproduced, distributed, or publicly shared

·      recordings, screenshots, or derivative training materials may not be created from Vizibly content

Vizibly reserves the right to suspend or terminate access where these terms are violated.

Unless otherwise stated in the Program Description, participants will have access to the online learning platform and program materials for 12 months from the date of enrollment.

5. boardVOX Community Portal

Certain programs may include access to the boardVOX Community Portal, an online space designed to support participant learning, peer dialogue, and continued engagement in governance practice.

Participants granted access receive a limited, non-exclusive, non-transferable right to access the boardVOX Community Portal for the duration specified in the applicable Program Description.

Participants agree that:

• access is limited to the registered participant

• login credentials must not be shared

• participants must engage respectfully and professionally

• confidential information shared within the community must not be disclosed outside the portal

• Vizibly may remove content or suspend access where conduct undermines the integrity of the community

Vizibly reserves the right to modify the structure, features, or availability of the boardVOX Community Portal at any time.

6. Client Responsibilities

Client agrees to, where applicable:

·      participate in the program in good faith

·      ensure participant attendance and engagement where applicable

·      maintain the confidentiality of platform login credentials

·      refrain from distributing program materials

·      communicate any special requirements or accommodations in advance

Where an organization enrolls multiple participants, the organization is responsible for ensuring that its participants comply with this Agreement.

7. Intellectual Property

All intellectual property associated with Vizibly training programs remains the exclusive property of Vizibly.

This includes but is not limited to:

·      course content

·      frameworks

·      methodologies

·      tools and templates

·      presentations and handouts

·      recordings and digital materials

Participation in a program does not grant ownership rights to these materials.

Unauthorized reproduction, distribution, modification, or commercial use of Vizibly materials is strictly prohibited without prior written consent.

8. Educational Purpose Only

Training provided by Vizibly is intended for educational and professional development purposes only.

The information provided does not constitute legal, financial, accounting, or professional advice. Participants are responsible for applying the learning appropriately within their own professional context and for seeking professional advice where necessary.

9. Confidentiality

Both Vizibly and the Client agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the program.

This includes but is not limited to:

·      participant discussions

·      proprietary business practices

·      program methodologies

This obligation survives the completion of the program.

10. Marketing and Testimonials

Vizibly may use non-confidential feedback or testimonials from participants for marketing purposes.

Vizibly will not disclose confidential business information or sensitive participant details without permission.

11. Commitment and Refund Policy

Enrollment in a Vizibly training program reserves a place in the program and provides access to proprietary materials.

Accordingly, all Program Fees are non-refundable, except where Vizibly cancels a program and cannot reasonably provide an alternative delivery option.

12. Limitation of Liability

Vizibly’s liability under this Agreement shall be limited to the amount of fees paid by the Client for the specific program.

Vizibly shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in the program.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Jamaica.

The parties submit to the exclusive jurisdiction of the courts of Jamaica.

14. Entire Agreement

This Agreement, together with the applicable Program Description, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the program.

15. Amendments

Vizibly reserves the right to update this Agreement from time to time. Updated terms will apply to future enrollments.

16. Acceptance

By purchasing, enrolling in, accessing, or participating in a Vizibly training program, the Client acknowledges that they have read, understood, and agreed to be bound by this Training Program Participation Agreement.

16. SMS Messaging Terms

Opt-Out & Support Mechanisms:

Carrier Liability Clause:

Carriers are not liable for delayed or undelivered messages.

Message Frequency Clause:

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive weekly messages. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

18. Acceptance

By purchasing, enrolling, accessing, or participating in a Vizibly training program, the Client acknowledges that they have read, understood, and agreed to be bound by this Training Program Participation Agreement.
